Terms of Service and Telehealth Patient Agreement

Effective Date: Jan 1, 2026 Last Updated: Aug 1, 2026 These Terms of Service and Telehealth Patient Agreement (“Terms,” “Agreement,” or “Terms of Service”) govern your access to and use of healthcare services provided by Incipio Health LLC d/b/a ProMedicaMD (“ProMedicaMD,” “Incipio Health,” “we,” “us,” or “our”), including our website, patient portal, telehealth platform, communications, medical programs, and related services (collectively, the “Services”). Incipio Health LLC d/b/a ProMedicaMD 3300 Hamilton Mill Rd, Ste 102, PMB 3011 Buford, GA 30519 By creating an account, scheduling an appointment, participating in a telehealth visit, submitting medical information, purchasing a program, communicating with our healthcare team, or otherwise using the Services, you acknowledge that you have read, understood, and agree to these Terms. If you do not agree with these Terms, you should not use the Services.1. ABOUT ProMedicaMD
ProMedicaMD is a healthcare organization operated by Incipio Health LLC that provides medical services through appropriately licensed and qualified healthcare professionals. Our Services may include, depending on your location, medical needs, eligibility, and applicable law:- Primary and general medical care;
- Urgent care;
- Weight management and medical weight-loss services;
- Hormonal health services;
- Restorative care;
- Preventive healthcare;
- Health assessments;
- Laboratory testing and review;
- Prescription medication management;
- Chronic-condition management;
- Follow-up care;
- Patient education; and
- Other healthcare services offered by ProMedicaMD.
2. HEALTHCARE PROFESSIONALS
Healthcare services are provided by healthcare professionals employed or engaged by Incipio Health LLC and acting within the scope of their applicable professional licenses and credentials. Healthcare professionals exercise independent clinical judgment in evaluating, diagnosing, treating, and managing patients. Neither the ProMedicaMD website nor administrative personnel determine what medical treatment is appropriate for an individual patient. A healthcare professional may determine that:- A requested service is not medically appropriate;
- A particular medication should not be prescribed;
- Additional information or testing is required;
- An in-person examination is necessary;
- A referral to another healthcare professional is appropriate;
- Emergency care is necessary; or
- Treatment should be modified, paused, or discontinued.
3. TELEHEALTH SERVICES
ProMedicaMD may provide healthcare through telehealth technologies, including video, telephone, secure messaging, electronic communications, remote monitoring, and other legally permitted methods. Telehealth allows healthcare professionals to evaluate and treat patients when the patient and healthcare professional are in different locations. Telehealth can provide significant benefits, including convenience and improved access to healthcare. However, telehealth also has inherent limitations. These limitations may include:- Inability to perform a complete physical examination;
- Inability to obtain certain vital signs or clinical information;
- Technology or connectivity failures;
- Audio or video interruptions;
- Delays in communication;
- Inability to adequately evaluate certain medical conditions remotely;
- Privacy and security risks associated with electronic communications;
- Need for additional laboratory testing or diagnostic services; and
- Need for subsequent in-person or emergency evaluation.
4. PATIENT LOCATION
You must accurately disclose your physical location when receiving telehealth services. Your physical location may affect whether ProMedicaMD and a particular healthcare professional are legally permitted to provide healthcare services to you. ProMedicaMD currently intends to provide Services to patients located in:- Georgia;
- Florida;
- Alabama; and
- Louisiana.
5. TELEHEALTH CONSENT
By participating in telehealth services, you acknowledge and agree that:- Telehealth uses electronic communications technology to provide healthcare.
- Telehealth may involve limitations compared with an in-person examination.
- Technical problems may interrupt or prevent an encounter.
- Your healthcare professional may determine that telehealth is not appropriate.
- You may be referred for in-person care.
- You may be instructed to seek emergency medical care.
- Electronic communications involve potential privacy and security risks.
- You have the opportunity to ask questions regarding telehealth.
- You may decline telehealth and seek in-person healthcare instead, subject to applicable circumstances.
- Your healthcare professional will determine whether telehealth is clinically appropriate.
6. NO EMERGENCY MEDICAL SERVICES
TELEHEALTH IS NOT AN EMERGENCY SERVICE.
ProMedicaMD is not an emergency department, ambulance service, crisis-response service, or substitute for emergency medical care.Do not use ProMedicaMD telehealth, messaging, email, or scheduling services for a medical emergency.
If you believe you are experiencing a medical emergency, immediately call 911 or go to the nearest emergency department. Examples of potentially emergent symptoms include:- Chest pain or pressure;
- Severe difficulty breathing;
- Severe bleeding;
- Loss of consciousness;
- Stroke symptoms;
- New severe confusion;
- Seizure;
- Severe allergic reaction;
- Serious injury;
- Severe or rapidly worsening symptoms;
- Suicidal or homicidal thoughts; or
- Any condition you believe could be life-threatening.
7. ESTABLISHMENT OF THE PATIENT-PROVIDER RELATIONSHIP
Creating an account, visiting our website, completing an intake form, paying a fee, or submitting medical information does not automatically guarantee establishment of a patient-provider relationship. A patient-provider relationship may be established when an appropriately licensed healthcare professional evaluates you and determines that it is appropriate to provide medical care. A healthcare professional may decline to establish or continue a patient-provider relationship when permitted or required by applicable law and professional standards.8. MEDICAL HISTORY AND ACCURACY OF INFORMATION
You agree to provide accurate, complete, and truthful information. This may include:- Full legal name;
- Date of birth;
- Current physical location;
- Contact information;
- Medical history;
- Surgical history;
- Current medications;
- Medication allergies;
- Family history;
- Current symptoms;
- Previous diagnoses;
- Laboratory results;
- Pregnancy status when clinically relevant;
- Pharmacy information;
- Prior treatment; and
- Other information reasonably necessary for safe medical care.
9. CLINICAL DECISION-MAKING
ProMedicaMD does not guarantee that any particular medical service, diagnosis, treatment, medication, laboratory test, referral, or prescription will be provided. All medical decisions are subject to the independent professional judgment of the treating healthcare professional. Your healthcare professional may determine that:- No treatment is necessary;
- Additional testing is necessary;
- A medication is inappropriate;
- A different medication is preferable;
- An in-person evaluation is required;
- A specialist should be consulted;
- Emergency care is necessary; or
- Treatment should be discontinued.
10. PRESCRIPTION MEDICATIONS
Where medically appropriate and legally permissible, ProMedicaMD healthcare professionals may prescribe medications.A prescription is not guaranteed.
Healthcare professionals may require:- Medical history;
- Laboratory testing;
- Follow-up visits;
- Medication monitoring;
- Additional records;
- In-person evaluation;
- Verification of identity;
- Pharmacy information; or
- Other clinical information.
11. WEIGHT MANAGEMENT PROGRAM
ProMedicaMD may offer medical weight-management services. Weight management is individualized medical care. Eligibility for a weight-management program or medication is determined by a healthcare professional. Eligibility may depend upon:- Medical history;
- Current health conditions;
- Current medications;
- Laboratory results;
- Body measurements;
- Treatment history;
- Contraindications;
- Potential drug interactions;
- Clinical appropriateness; and
- Applicable law.
- Eligibility for a program;
- Eligibility for medication;
- A particular medication;
- A particular amount of weight loss;
- A particular rate of weight loss;
- A particular body weight;
- A particular treatment outcome; or
- Insurance reimbursement.
12. HORMONAL HEALTH SERVICES
ProMedicaMD may provide evaluation and management of certain hormonal health conditions and related concerns. Hormonal healthcare is individualized medical care. Treatment may involve:- Medical history;
- Symptom assessment;
- Laboratory testing;
- Medication review;
- Monitoring;
- Follow-up appointments; and
- Other clinical evaluation.
13. RESTORATIVE CARE
ProMedicaMD may offer restorative or wellness-oriented medical services intended to support health, function, recovery, or overall well-being. The specific services available may vary based upon medical necessity, provider scope of practice, patient eligibility, state law, and clinical judgment. Restorative or wellness services do not guarantee prevention, reversal, cure, or treatment of any disease or medical condition.14. URGENT CARE
ProMedicaMD may provide evaluation of certain non-life-threatening medical concerns through telehealth. Urgent care services are intended for conditions that can reasonably be evaluated and managed through the available telehealth service. Your healthcare professional may determine that your condition requires:- An emergency department;
- Urgent in-person evaluation;
- Diagnostic testing;
- Imaging;
- Laboratory services;
- Specialist evaluation; or
- Other in-person medical care.
15. LABORATORY TESTING
Healthcare professionals may order laboratory testing when clinically appropriate. Laboratory services may be performed by independent third-party laboratories. Laboratory services may involve separate fees and may be subject to:- Insurance coverage;
- Laboratory availability;
- Geographic restrictions;
- Provider requirements;
- Prior authorization; or
- Other requirements.
16. PHARMACY SERVICES
Prescriptions may be transmitted to a pharmacy selected by the patient or otherwise selected in accordance with applicable law and clinical requirements. Pharmacies are independent entities and may have their own:- Pricing;
- Inventory;
- Dispensing requirements;
- Insurance requirements;
- Shipping policies;
- Substitution policies; and
- Operating procedures.
17. COMPOUNDED MEDICATIONS
If ProMedicaMD offers or prescribes compounded medications, such medications may be prepared by an independent compounding pharmacy or other legally authorized pharmacy. Compounded medications are subject to applicable federal and state requirements and may differ from commercially manufactured medications. Availability, formulation, concentration, ingredients, dosage forms, and dispensing practices may vary. A compounded medication will only be prescribed when the treating healthcare professional determines that it is appropriate and legally permissible. Additional disclosures and consents may apply to compounded medications.18. FEES
You agree to pay all applicable fees disclosed before or at the time of purchase. Fees may include:- Initial medical consultation fees;
- Follow-up visit fees;
- Membership fees;
- Subscription fees;
- Program fees;
- Laboratory fees;
- Medication costs;
- Pharmacy charges;
- Shipping charges; and
- Other disclosed charges.
19. MEMBERSHIPS AND SUBSCRIPTIONS
Certain ProMedicaMD programs may operate as recurring memberships or subscriptions. Before enrolling, you will be provided with applicable pricing and recurring-payment information. If you enroll in a recurring program, you authorize recurring charges to your selected payment method according to the applicable subscription terms. Subscription cancellation does not automatically cancel services that have already been provided or charges that have already been incurred. Additional Financial and Subscription Terms may apply.20. REFUNDS
Unless otherwise stated in applicable program terms or required by law, fees for healthcare services that have already been provided are generally non-refundable. If a healthcare professional determines that a medication or treatment is not clinically appropriate, that determination does not necessarily entitle a patient to a refund for healthcare services already provided. Nothing in this section is intended to waive a refund right that cannot lawfully be waived.21. APPOINTMENTS AND CANCELLATIONS
Patients are responsible for attending scheduled appointments. Patients should cancel or reschedule appointments as soon as reasonably possible. Missed appointments and late cancellations may be subject to fees if those fees were disclosed before scheduling. A missed appointment does not create an obligation for ProMedicaMD to provide emergency care or immediate medical assistance.22. ELECTRONIC COMMUNICATIONS
ProMedicaMD may communicate with patients through:- Patient portals;
- Email;
- Telephone;
- Text messages;
- Appointment reminders;
- Secure messaging; and
- Other electronic communication systems.
- Email account;
- Mobile device;
- Patient portal account;
- Passwords;
- Authentication credentials; and
- Other accounts used to access the Services.
23. PRIVACY AND HIPAA
ProMedicaMD recognizes the importance of protecting patient health information. To the extent applicable, protected health information will be handled in accordance with the Health Insurance Portability and Accountability Act (“HIPAA”) and other applicable federal and state privacy laws. Our Notice of Privacy Practices explains how protected health information may be used and disclosed and describes applicable patient rights. Our website and technology platforms may also collect information that is not protected health information under HIPAA. Such information may be governed by our separate Privacy Policy. You should review our Notice of Privacy Practices and Privacy Policy carefully.24. TECHNOLOGY AND SECURITY
We use administrative, technical, and physical safeguards designed to protect information and maintain the security of our systems. However, no electronic communication or information system can be guaranteed to be completely secure. Potential risks include:- Unauthorized access;
- Account compromise;
- Device theft or loss;
- Malware;
- Phishing;
- Internet outages;
- Software failures;
- Telecommunications failures; and
- Other technology-related events.
25. WEBSITE AND PLATFORM AVAILABILITY
Our website, patient portal, applications, and other technology may occasionally be unavailable. We do not guarantee that technology will be:- Continuously available;
- Uninterrupted;
- Error-free;
- Compatible with every device;
- Available in every location; or
- Free from security vulnerabilities.
26. MEDICAL RESULTS
Healthcare outcomes vary from patient to patient. ProMedicaMD does not guarantee any particular:- Diagnosis;
- Treatment response;
- Weight-loss result;
- Hormone level;
- Symptom improvement;
- Laboratory result;
- Recovery;
- Medication response;
- Health outcome; or
- Other medical result.
27. THIRD-PARTY SERVICES
ProMedicaMD may work with third parties, including:- Pharmacies;
- Laboratories;
- Payment processors;
- Technology providers;
- Shipping companies;
- Diagnostic facilities;
- Specialists; and
- Other healthcare or administrative service providers.
28. PATIENT RESPONSIBILITIES
You agree to:- Provide truthful and complete medical information.
- Accurately report your physical location.
- Follow reasonable medical instructions.
- Complete recommended laboratory testing.
- Attend recommended follow-up appointments.
- Notify your healthcare professional of material changes in your health.
- Report significant adverse reactions or concerning symptoms.
- Maintain current contact information.
- Protect your account credentials.
- Treat healthcare professionals and staff respectfully.
- Seek emergency care when appropriate.
- Comply with applicable laws and these Terms.
29. PATIENT CONDUCT
Patients may not use the Services to:- Obtain medications through deception;
- Provide false medical information;
- Misrepresent identity;
- Misrepresent physical location;
- Obtain treatment on behalf of another person without authorization;
- Circumvent medical or legal requirements;
- Threaten or harass healthcare professionals or staff;
- Interfere with our technology;
- Attempt unauthorized access to our systems;
- Engage in unlawful activity; or
- Otherwise compromise patient, provider, or staff safety.
30. MINORS
Unless expressly authorized by ProMedicaMD and permitted by applicable law, Services are intended for adults. If Services are provided to a minor, ProMedicaMD may require authorization from a parent, legal guardian, or other legally authorized representative. Additional requirements may apply depending upon the patient’s state, age, medical condition, and type of healthcare service.31. DISCONTINUATION OF CARE
A healthcare professional may discontinue a patient-provider relationship when legally and clinically appropriate and consistent with applicable professional obligations. Where required, ProMedicaMD will take reasonable steps to facilitate continuity of care. Nothing in these Terms authorizes patient abandonment or limits a healthcare professional’s duties under applicable law.32. INTELLECTUAL PROPERTY
The ProMedicaMD name, logos, website, platform, software, text, graphics, educational materials, and other content are owned by or licensed to Incipio Health LLC or its licensors. You may use such materials for your personal healthcare-related purposes. You may not reproduce, distribute, modify, sell, or commercially exploit our materials without written authorization.33. EDUCATIONAL INFORMATION
Information appearing on our website, patient portal, emails, social media, educational materials, or other communications may be educational in nature. General educational information is not necessarily individualized medical advice. You should not rely exclusively on general information when making decisions about your health. Consult your healthcare professional regarding your individual medical circumstances.34. ARTIFICIAL INTELLIGENCE AND AUTOMATED TECHNOLOGY
ProMedicaMD may use automated technologies, including artificial intelligence, for certain administrative, operational, documentation, scheduling, communication, quality-improvement, or other functions where permitted by law. Automated technology does not replace the independent clinical judgment of your healthcare professional. Clinical decisions remain subject to applicable professional standards and the judgment of appropriately licensed healthcare professionals.35. DISCLAIMERS
To the maximum extent permitted by applicable law, the website, platform, and non-clinical technology services are provided on an “as is” and “as available” basis. We do not guarantee that technology will always be available, uninterrupted, secure, or error-free. Nothing in these Terms is intended to disclaim a legal right, warranty, duty, or protection that cannot legally be disclaimed.36. LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, Incipio Health LLC will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from your use of our website, technology, or Services. Nothing in these Terms is intended to:- Waive rights that cannot legally be waived;
- Limit liability where prohibited by law;
- Eliminate a healthcare professional’s legal duties;
- Limit professional liability in a manner prohibited by law; or
- Prevent you from exercising a legally protected right.
37. INDEMNIFICATION
To the extent permitted by applicable law, you agree to indemnify and hold harmless Incipio Health LLC, its affiliates, officers, employees, contractors, and service providers from claims arising from your intentional misuse of the Services, fraudulent conduct, violation of these Terms, or violation of applicable law. This provision does not require a patient to indemnify ProMedicaMD for professional negligence, malpractice, or other liability that cannot legally be shifted to the patient.38. STATE-SPECIFIC REQUIREMENTS
Because ProMedicaMD provides telehealth services to patients in multiple states, additional state-specific requirements may apply. These Terms are intended to operate together with any applicable state-specific consent forms, disclosures, notices, and addenda. If a mandatory provision of applicable state or federal law conflicts with these Terms, the mandatory legal requirement will control. Nothing in these Terms is intended to authorize a healthcare professional to practice outside the professional’s lawful scope of practice or without any license, registration, permit, or authorization required by applicable law.39. GOVERNING LAW
These Terms will be interpreted consistent with applicable federal law and the laws of the jurisdiction applicable to the particular patient relationship, healthcare service, and dispute. Mandatory healthcare, professional-licensing, patient-protection, privacy, and consumer-protection laws applicable to the patient or healthcare professional will not be displaced by these Terms.40. DISPUTE RESOLUTION
Before pursuing formal legal action regarding a non-emergency dispute, the parties are encouraged to attempt to resolve the matter informally. - Contacting a governmental or regulatory agency;
- Exercising a statutory patient right;
- Reporting suspected misconduct; or
- Exercising another right that cannot legally be waived.
41. CHANGES TO THESE TERMS
We may modify these Terms periodically. Updated Terms will identify the applicable effective date. Where required by law, we will provide additional notice or obtain additional consent. Continued use of the Services following the effective date of updated Terms constitutes acceptance to the extent permitted by applicable law.42. SEVERABILITY
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.43. ENTIRE AGREEMENT
These Terms, together with the documents incorporated by reference, constitute the agreement governing your use of the Services. Related documents may include:- Telehealth Informed Consent;
- Notice of Privacy Practices;
- Privacy Policy;
- Financial and Subscription Terms;
- Weight Management Program Terms;
- Hormonal Health Terms;
- Urgent Care Policy;
- Prescription and Pharmacy Policy;
- State-specific disclosures; and
- Other patient agreements provided by ProMedicaMD.
